CBS Corporation seeks an attorney based in New York City to work on general corporate matters, including as follows:

  • Negotiate and draft agreements with third party vendors for CBS Treasury, Strategic Sourcing and Human Resources departments

  • Manage the corporate legal aspects of domestic and international subsidiary matters, including among other things:

  • Supporting the Tax department with respect to internal restructurings and the Treasury function with respect to cash movements,

  • Managing the legal process for the formation, maintenance and dissolution of entities,

  • Providing corporate legal support for M&A transactions involving subsidiaries, and

  • Managing the delegation letter process

  • Assist in developing and maintaining Company business guidelines/policies.

  • Prepare and/or manage Hart-Scott-Rodino and foreign anti-trust filings.

  • Provide legal advice on political contributions.


  • JD degree from accredited law school; bar admission; excellent academic credentials.

  • 4-6 years of relevant experience and demonstrated success advising clients at a major law firm and/or an in-house position.

  • Superior writing and oral communication skills.

  • Attention to detail.

  • Excellent interpersonal skills and highly team-oriented.

  • Superior work ethic, well organized and able to manage numerous projects simultaneously.
