The Vice President, Counsel role will be responsible for providing advice, counsel and training on all aspects of employee benefit plans, including qualified and nonqualified retirement, health and welfare benefit plans. This includes drafting plan documents and ensuring compliance with IRC, ERISA, HIPAA, COBRA, ACA and other applicable laws while handling complex legal matters and related projects.

Job Responsibilities:

  • Provide advice on the design, administration and legal matters related to qualified and non-qualified employee benefit plans, including 401(k), pension and health and welfare plans.

  • Identify, communicate and assess legal and regulatory requirements in proposed or enacted laws, regulations, regulatory guidance, and industry best practices impacting CBS and its employee benefit plans.

  • Provide advice to fiduciary and administrative committees on legal and compliance matters related to employee benefit plans, including with respect to member claims, regulatory requirements, plan amendments and modifications and fiduciary issues.

  • Advise on and prepare plan amendments and modifications to meet legal, compliance and business objectives.

  • Manage internal and external plan audits and assist in preparing annual plan financial statements and SEC filings.

  • Oversee legal issues and negotiate service agreements with respect to plan vendors, including insurers, custodians, trustees, investment managers and administrators.

  • Provide counsel and assist in due diligence reviews and integration related to benefits matters in M&A transactions.

  • Monitor and advise on litigation related to benefits matters.

  • Promote a risk-aware culture to ensure efficient and effective risk and compliance management practices by adhering to required standards and processes.

  • Manage outside counsel and other experts as necessary.


  • College degree and J.D. required.

  • A minimum of 8 years’ experience as a practicing attorney with a thorough understanding of the various laws that impact health and welfare and retirement plans, including ACA, ERISA, COBRA, HIPAA, FMLA, Internal Revenue Code and insurance laws that affect these programs.

  • Working knowledge of U.S. labor and employment laws that impact benefit plans.

  • Strong project management skills and an ability to prioritize multiple projects ensuring efficient, timely and accurate production of tools and materials.

  • Strong oral, written analytic and communication skills with an ability to clearly and concisely articulate complex legal concepts to a lay audience.

  • Strong interpersonal skills, with an ability to inspire trust and confidence with stakeholders at all levels.

  • Strong research skills and experience with interpreting statutes and regulations.

  • Must be a self-starter, and demonstrate cooperation and collaboration in team settings.
